These Platform Terms (the “Terms”) govern your access to and use of Kollab, an influencer marketing platform operated by Kollab, Inc. (“Kollab,” “we,” “us”). By creating an account, signing an Agreement, or otherwise using the platform, you accept these Terms. If you don't agree, don't use the platform.
Kollab is operated as a DBA. Where these Terms refer to “Kollab, Inc.” they refer to the operating entity for the time being and any successor or assignee. Each Agreement signed through the platform is governed by the version of these Terms stamped on it; later changes to these Terms don't alter Agreements already in effect.
You must be at least 18 years old and able to enter into a binding contract. You're responsible for keeping your login credentials secure and for everything that happens under your account. Creator claims require ownership verification of the linked X account via Clerk OAuth. Brands receiving payouts as a Creator must complete Stripe Connect onboarding.
Discover is a Creator scoring service built from public X data and our proprietary authenticity model. Scores are informational only. We don't guarantee that any Creator is available, will deliver, or will produce a particular result. Free-tier accounts get 3 daily lookups; paid tiers raise or remove that limit per the pricing page.
When a Brand sends an Offer, the Brand signs an electronic Agreement and authorizes its payment method through Stripe for the Offer total (rate + Platform Fee, plus any applicable Stripe processing fees). The authorization is a hold, not a charge. If the Creator declines or doesn't respond in time, the authorization is voided.
When the Creator signs and accepts the Agreement, the authorization is captured and the funds are held in Escrow. The Creator's obligation to deliver, and the Brand's obligation to pay, become binding at this point.
A Creator may counter an Offer with a different rate. The original authorization is voided. If the Brand accepts the counter, a new Agreement is formed and a fresh authorization is placed at the new amount.
The Creator submits proof of delivery through the Platform (typically a URL to the published content) by the go-live date in the Agreement. Submitting fraudulent or unrelated content is a material breach.
The Brand may approve the delivery, which releases the Creator's share (90% of the Offer rate, or 93% on applicable Manage tiers) from Escrow to the Creator's Stripe Connect account. Kollab retains the Platform Fee.
If a Brand neither approves nor opens a dispute within 48 hours after delivery, the Platform automatically approves the delivery and releases Escrow. The Brand is responsible for reviewing deliveries within the window. The auto-approval window does not apply to Offers with open disputes.
A Brand may withdraw an Offer at any time before the Creator signs. The authorization is voided and no funds are captured.
Agreements are signed electronically. By typing your full name in the signature field and checking the consent box, you intend to sign and be bound by the Agreement, and you accept that your typed name has the same legal effect as a handwritten signature under the U.S. E-SIGN Act, UETA, and equivalent laws. We capture your IP address and user agent at signing time for audit purposes. The final terms of each Agreement are frozen as a snapshot and hashed (SHA-256) at signing; any later change to the document will not match the stored hash.
Either party may open a dispute on an accepted or delivered Offer through the Platform. While a dispute is open, Escrow is frozen and auto-approval is suspended. The non-initiating party may submit one response; the initiator may withdraw at any time before resolution. For this v1 of the Platform, Kollab's decision on a dispute is final and binding on both parties as the agreed informal resolution mechanism. Kollab may refund the Brand in whole or in part, release some or all of Escrow to the Creator, or split funds between the parties. Nothing in this section prevents either party from pursuing legal remedies outside the Platform.
The Creator retains ownership of the content they create. By delivering content under an Agreement, the Creator grants the Brand the license to use, repost, and promote that content as specified in the Agreement's deliverables and notes. Kollab claims no ownership of Creator content. The Platform itself, including the Kollab Scoring Engine and authenticity model, is the property of Kollab, Inc.; you receive only a limited, revocable license to use the Platform per these Terms.
After an Offer completes, both parties may rate each other. Ratings are scoped per Brand+Creator pair and visible on Platform profiles. Ratings must be honest and based on the actual interaction. We may remove ratings that violate these Terms or applicable law.
You may close your account at any time. We may suspend or terminate accounts that breach these Terms, with or without notice. Termination doesn't void Agreements already in progress or amounts already owed; Escrow on open Offers is resolved through the normal flow or dispute process.
The Platform is provided “as is” and “as available.” We don't warrant any specific result, that any Creator's content will perform, or that the Platform will be uninterrupted or error-free. Kollab Scoring Engine outputs, authenticity scores, and follower-data analyses are estimates derived from public sources and are not guarantees.
To the maximum extent permitted by law, Kollab is not liable for indirect, incidental, consequential, or punitive damages. Our total liability to you for any claim arising out of or relating to these Terms or the Platform is capped at the greater of (a) the total Platform Fees you paid to Kollab in the 12 months preceding the claim, or (b) USD $100.
You will defend, indemnify, and hold harmless Kollab, Inc. and its affiliates from any third-party claims arising out of (a) your content, (b) your breach of these Terms, or (c) your violation of any third-party right, including intellectual property and platform rules of X (Twitter).
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute not resolved through the Platform's dispute process or otherwise informally will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. When we do, we'll bump the Version above and the PLATFORM_TERMS_VERSION stamped on new Agreements. Agreements signed under a prior Version remain governed by that Version's terms. Material changes will be announced via email or in-product notice before they take effect for future Agreements.
